Terms & Conditions
Effective date: October 5, 2026
1. Scope
These Terms & Conditions govern use of arinage.com and, where incorporated into a proposal, order, statement of work or other agreement, the provision of services by ARINAGE LLC ("ARINAGE", "we", "us" or "our"). ARINAGE provides technology services focused on artificial intelligence, software, automation, data systems, digital platforms, systems integration and related technology consulting.
2. Technology Services
Services may include AI strategy and transformation, system architecture, AI agents, workflow automation, document intelligence, data integration and analytics, software and digital-platform development, healthcare-oriented technology solutions, implementation, integration, testing, deployment, maintenance and technical support. The precise scope, deliverables, assumptions, fees and schedule for a project are determined by the applicable proposal, statement of work or other written agreement.
3. No Regulated Professional Advice
Unless expressly agreed in writing and lawfully permitted, ARINAGE does not provide legal, tax, accounting, investment, banking, medical or other regulated professional advice. Technology developed for healthcare, finance or other regulated environments is intended to support workflows and information processing and does not replace qualified professional judgement where such judgement is required.
4. Artificial Intelligence
AI systems are probabilistic and may generate inaccurate, incomplete, outdated or unexpected outputs. Unless expressly stated in a written agreement, ARINAGE does not warrant that AI-generated output will be error-free, suitable as the sole basis for a high-impact decision, or appropriate without human review. Clients are responsible for establishing appropriate review, validation, access controls and human oversight for their use case.
5. Third-Party Technology
Projects may depend on third-party cloud services, APIs, software, data sources, AI models, hosting platforms or other technology. Their availability, functionality, pricing and terms are controlled by their respective providers and may change. ARINAGE is not responsible for outages, restrictions, model changes or other failures originating solely in third-party services, although we will use commercially reasonable efforts to manage integrations within the agreed scope.
6. Client Responsibilities
The client must provide timely and accurate information, access, decisions, materials and cooperation reasonably required to perform the project. The client represents that it has the rights and permissions necessary for materials, data and systems it provides to ARINAGE and that its intended use of the services complies with applicable law.
7. Data, Security and Confidentiality
Each party will use reasonable care to protect confidential information received from the other and will use it only for the relevant business relationship, except where disclosure is authorised or legally required. Project-specific data protection, security, hosting or confidentiality obligations may be set out in a separate agreement or statement of work and will control in the event of conflict.
8. Intellectual Property
Ownership and licensing of project deliverables are determined by the applicable written agreement. Unless otherwise agreed, each party retains ownership of its pre-existing materials, technology, know-how, trademarks, data and intellectual property. ARINAGE may retain and use general skills, ideas, methods, frameworks, non-client-specific know-how and reusable technical components that do not disclose client confidential information.
9. Fees and Payment
Fees, currencies, payment schedules, taxes and reimbursable expenses are specified in the applicable proposal, invoice or agreement. Unless otherwise stated in writing, work may be conditioned on receipt of an agreed deposit or advance payment. Late or unpaid amounts may result in suspension of work to the extent permitted by applicable law and the relevant agreement.
10. Changes to Scope
Requests outside the agreed scope may require a change order, revised estimate, additional fees or an adjusted schedule. ARINAGE is not obligated to perform material out-of-scope work until the parties agree on the relevant change.
11. Project Timing
Any delivery dates or estimates depend on the agreed scope, client cooperation, third-party dependencies and technical conditions. Unless expressly guaranteed in writing, schedules are good-faith estimates rather than absolute guarantees.
12. Acceptable and Lawful Use
Clients may not knowingly use ARINAGE services or deliverables for unlawful activity, fraud, unauthorised access, malicious software, infringement of third-party rights, or other activity prohibited by applicable law or an applicable written agreement. ARINAGE may decline or suspend work where reasonably necessary to address legal, security or material compliance risk.
13. Warranties
ARINAGE will perform professional services with reasonable care and skill. Except for warranties expressly stated in a written agreement and to the maximum extent permitted by law, services, prototypes, integrations and deliverables are provided without implied warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted operation.
14. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, punitive or consequential damages, or for loss of profits, revenue, business opportunity or goodwill, arising from the services. Any project-specific liability cap or allocation of risk stated in a signed agreement will control. Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
15. Suspension and Termination
Project termination rights are governed by the applicable written agreement. ARINAGE may suspend or terminate services for material non-payment, unlawful use, material security risk, or material breach that is not remedied where a cure period is required. Upon termination, accrued payment obligations and provisions intended by their nature to survive termination remain effective.
16. Website Information
Information on arinage.com is provided for general informational purposes and does not by itself create a client relationship, commitment, warranty or binding project scope. A binding engagement arises only through an accepted proposal, statement of work, order or other agreement authorised by ARINAGE.
17. Governing Law
Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any mandatory rights or jurisdictional rules that cannot lawfully be waived remain unaffected.
18. Changes
ARINAGE may update these website Terms from time to time. Changes apply prospectively from the effective date shown above and do not retroactively modify a separately signed agreement unless the parties expressly agree otherwise.
